Sales :
The Unit Prices of the Estimate are valid only if the entire Bill of Material is purchased. Any changes in quantities or items may result in revision of prices
o The Prices offered are for the supply of material only, and specifically excludes Testing, Commissioning and other Non-Material (including Shipping) Services unless so stated in the Estimate
o Delivery / Pick-Up Point: kareemShield Warehouse, unless otherwise stated
o Delivery Lead Time shown in the Estimate may be increased from 1-3 Months if product falls into new SASO / SABER Guidelines or require CITC Approval
o SASO / CITC Testing Charges, if shown, are for estimation only and will be charged in actual to the purchaser Items marked with "-R-" are classified as Regulated Products under SASO ICCP Guidelines, and will require Inspection
& Random Testing in the Country of Origin. All associated costs and Test Samples will be the responsibility of the purchaser
o Unless otherwise stated, all Domestic Sales are made FOB Delivery Point while all International Sales are made Ex- Works. In all cases, Title upon delivery shall pass on to the purchaser or purchaser's agent at Point of Shipment and thereafter all risks of Loss or Damages shall be upon purchaser
o Shipping dates given in advance of actual shipment are estimates only and shall not be deemed to represent fixed or guaranteed shipping dates. kareemShield shall not be liable for failure to deliver or for delay in delivery or performance due to
a cause beyond its reasonable control
an Act of God, act of omission of purchaser, act of civil or military authority, governmental priority, or other allocation or control, fire, strike, or other labor difficulty, riot or other civil disturbance, insolvency, or other inability to perform by the manufacturer, delay in transportation
any other commercial impracticability.
In the event of any such delay, the date of shipping or performance shall be extended for a period equal to the time lost by reason of delay
o If the customer ordered products which are out of stock (wholly or partially) and must be ordered from the factory, customer has to pay the 100% value of the products in advance. The payment shall be non-refundable in case the customer changes his mind or cancels the order. In case of cancelling the order because of delays in the delivery for 30 days beyond the agreed period, the customer has the right to recover the whole amount paid.
Refund:
o Exchange or Refund of the whole amount of purchase within 2 days of Purchase Date
o Sold product should be in original condition, original packing (including wrapping), with all accessories intact, unused or installed
o Original Invoice
o Warranty conditions will apply after 2 days of being purchased
Warranty :
Goods sold / distributed by kareemShield are products of reputable manufacturers. kareemShield shall use its best efforts to obtain from each manufacturer, in accordance with the Manufacturer's Warranty or Customary Practice, the repair or replacement of goods that may prove defective in material or workmanship
o Warranty covers fixing & replacing spare parts without any remuneration in case of a manufacturing defect as inflicted in this policy, and does not necessarily cover replacing the product or its refund
o To utilize the Warranty Service, Original Invoice needs to be presented to verify the Serial Number(s) of the device and validity of the Warranty Period
o Repair would take an estimated 15 Days for damages covered under Warranty or as communicated
o Repaired device is guaranteed to comply with the original Warranted product. In case of a manufacturing defect, we have the right to replace internal components of the device, including but not limited to mainboard, and this policy covers this condition of exchange
o In case the device cannot be repaired within the Warranty Period, the customer can get another device after paying the “Fair Use” Value, or Refund the amount of device after deducting the “Fair Use” Value, as mentioned in the “Quality Manufacturing, Providing Spare Parts, and Maintenance” Law issued by the Ministry of Commerce & Industry .
Warranty will be considered VOID in the following cases;
o Misuse of the product or failure to comply with the instructions in the manual attached with the product at the time of installation
o Cracks, wrecks or exposing the device to external factors like liquids, moisture, high-temperature, accidents, vandals, earthquakes, electric current instability, rain water leak, strike shock, lighting, fires, floods or the likewise
o Attempts of installation, repair or maintenance conducted by unauthorized individual(s) and / or agent(s), or using spare parts that are not certified by the International Organization for Standardization
o Damages caused by transportation or shipping to customer
o Damages caused by electric current instability (visible from the burn in mainboard) or from using electric generator with unstable current
Limitation of Liability:
kareemShield's liability on any claim for loss or damage arising out of this contract or from the performance or breach thereof or connected with the supply of any goods hereunder, or their sale, re-sale, operation or use, whether based on contract, warranty, tort (including negligence) or other grounds, shall not exceed the price allowable to such goods or performance or part thereof involved in the claim. kareemShield shall not, under any circumstances, be liable for any labor
charges without the prior written consent of kareemShield. kareemShield shall not be liable, in any event, whether as a result of breach of contract, warranty, tort (including negligence) or other grounds, for special, consequential, incidental or penal damages including, but not limited to loss of profits or revenue, loss of use of the product or any associated product, cost of capital, cost of substitute products, facilities or services, downtime costs, or claims of customers of the purchaser for such damages. The purchaser shall determine the suitability of the goods for his intended use and assumes all risk and liability in connection therewith. kareemShield, at the
request of the purchaser may, but without being under any obligation to do so, furnish technical advice with reference to the use of the goods sold hereunder, on the express understanding that any such advice or assistance given is at the purchaser's own risk and kareemShield shall not be liable for any loss, damages, or claims arising thereform.
Hazardous Business:
Unless otherwise agreed in writing by an authorized representative of kareemShield Management, goods sold hereunder are not intended for use in connection with any nuclear facility or any other hazardous activity such as commercial or military aircraft, missile installation, space exploration, or other critical applications where failure of a single component could cause substantial harm to humans and/or property. If so used, kareemShield disclaims all liability from any nuclear damage,
contamination, or other injury and the purchaser shall indemnify and hold kareemShield harmless from such liability whether as a breach of contract, warranty, tort (including negligence) or other grounds. Neither kareemShield, nor its suppliers or manufacturers shall have any liability to the purchaser or its insurers whether based on contract, warranty, tort (including negligence) or other grounds for on-site damage to any person/property location at a nuclear facility.
